By accessing or using VolunTrax's services, website, or applications (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

These Terms constitute a legally binding agreement between you and VolunTrax, whether you are a "Visitor" (which means you're simply browsing our website) or a "Customer" (which means you've registered to use our services).

2. Description of Service

VolunTrax provides volunteer management software designed for non-profit organizations and community groups. Our platform enables organizations to register, track, and manage volunteers and volunteer hours.

VolunTrax reserves the right to modify, suspend, or discontinue the Services at any time, with or without notice. You agree that VolunTrax shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Services.

3. Account Registration and Security

To access certain features of the Services, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify VolunTrax immediately of any unauthorized use of your account or any other breach of security.

VolunTrax will not be liable for any loss or damage arising from your failure to comply with this section.

4. Subscription Plans and Payment

VolunTrax offers various subscription plans. By selecting a subscription plan, you agree to pay the applicable fees as described on our pricing page. All payments are non-refundable unless otherwise specified.

We reserve the right to change our prices at any time. If we change prices, we will provide notice of the change on the website or via email at least 30 days before the change takes effect.

Unless otherwise stated, all fees are quoted in U.S. Dollars.

5. Data Privacy

You are responsible for obtaining consent from volunteers whose personal information you input into our system.

6. User Content

By submitting User Content, you grant VolunTrax a worldwide, non-exclusive, royalty-free license to use, copy, modify, and display the User Content in connection with the operation of the Services.

You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that you own or have the necessary permissions to use and authorize VolunTrax to use all intellectual property rights in and to any User Content.

7. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

• Using the Services for any illegal purpose or in violation of any local, state, national, or international law
• Violating or infringing other people's intellectual property, privacy, or other contractual rights
• Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity
• Interfering with or disrupting the Services or servers or networks connected to the Services
• Attempting to gain unauthorized access to other users' accounts or any part of the Services
• Collecting or harvesting any personally identifiable information from the Services

8. Termination

VolunTrax may terminate or suspend your account and access to the Services at any time, with or without cause, and with or without notice.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

VOLUNTRAX DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VOLUNTRAX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES.

IN NO EVENT SHALL VOLUNTRAX'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNTS PAID BY YOU TO VOLUNTRAX FOR THE PAST TWELVE MONTHS OF SERVICE.

11. Changes to Terms

VolunTrax reserves the right to modify these Terms at any time. We will provide notice of significant changes by posting the new Terms on the website and/or sending you an email. Your continued use of the Services after such modifications will constitute your acceptance of the modified Terms.
